VIEWPOINT COMPUTER CLUB BY-LAWS

Article I: Name and Purpose
        This club shall be a non-profit unincorporated association known as the ViewPoint Computer Club [hereinafter referred to as "VPCC"]. Its structure shall be that of a self-help group dedicated to aiding and facilitating the education and communication among member computer users who are residents of ViewPoint RV & Golf Resort in Mesa, AZ [hereinafter referred to as "ViewPoint].

Article II: Membership
        Residents of ViewPoint who complete a VPCC membership form and who have paid dues for the current season shall be members.

Article III: Meetings
        Meetings of VPCC shall be scheduled by the officers of VPCC, preferably weekly, but may be bi-weekly or monthly as they deem advisable. The season shall commence on or about the first week of November and end on or about the last week of March of the next year.

Article IV: Officers
        The officers of VPCC shall consist of a President, Vice-President, Secretary and Treasurer, and together with the Past President they shall form the Executive Committee of VPCC. The term of the officers shall be one [1] year, and they shall be eligible for reelection. Officers shall be elected at an Annual Meeting of VPCC during the month of March by majority vote of members. In any event, officers shall serve until their successors have been elected. If any officer shall fail to return to ViewPoint the following season, or shall otherwise be unable or unwilling to serve, a special election shall be called by the remaining officers to elect his/her successor. Any officer may be removed from office by the votes of two thirds [2/3rds] of the members present at the meeting where such removal is considered. No officer shall be compensated.

Article V: Duties of Officers
        President - The President shall preside at all meetings of VPCC, and shall represent VPCC in all communications with the management of ViewPoint. The President should call a short monthly business meeting to review any motions passed or policy set during the past month and to review the financial position of the club. The President shall also appoint various members to such committees or positions which he/she deems necessary for the smooth operation of VPCC. The President shall be one of the Bank signing officers.
        
Vice- President - The Vice-President shall perform the duties of the President in his/her absence, and shall perform such other duties as requested by the President. The Vice-President shall be one of the Bank signing officers.
        
Secretary - The Secretary shall take notes of what happens at VPCC meetings, and shall be prepared to give a brief report at the monthly meetings. The Secretary should also take and record a head count for attendance at all meetings, and may handle all correspondence as requested by the President.
        
Treasurer - The Treasurer shall accept and record all payments of dues, and shall keep all financial records of VPCC. The Treasurer shall be one of the Bank signing officers. He/she shall arrange for a Bank account on which checks may be written with signing authority to be any one of the three Bank signing officers [who shall be the President, Vice- President and Treasurer]. The Treasurer will prepare a financial report for the monthly meeting of VPCC or upon the President's request at any other time. At the start of the season the Treasurer will prepare a budget of anticipated revenues and expenses for the season, and will present this for approval at an Executive Committee meeting in November. The budget will be presented for approval at the November or December meeting of VPCC. The Treasurer shall file appropriate United States Department of the Treasury tax returns and Arizona state tax returns as required by law.
        
Past President - Immediately after their term of office, the President shall become the Past President and shall be a member of the Executive. His/her term shall last until the current President becomes the past President. The Past President will serve as chairperson of the Nominating Committee.

Article VI: Rules of Order
        Rules of Order at any meeting shall be in accordance with accepted practices for the conduct of meetings in a fair manner. Robert's Rules of Order may be consulted when appropriate.

Article VII: Dues
        The amount of the annual VPCC membership dues shall be reviewed and set by the Executive Committee prior to the first club membership meeting of the season. The amount will be publicized in ViewPoint's newsletter and on the VPCC Website. Any increase in annual dues must be authorized by a vote of the membership at a monthly meeting. A simple majority shall carry the motion.

Article VIII: Disbursement of Funds
        Approval of the annual budget by the Executive Committee shall constitute authorization for disbursement of funds of VPCC in accordance with the budget. Emergency disbursements, not included in the budget, up to the sum of Two Hundred Dollars [$200.00] may be made upon majority vote of the Executive Committee, and details of such emergency disbursements must be presented to the membership at the next meeting of VPCC.
        
Article IX: Quorum for Meetings
        A quorum for the conduct of business of VPCC shall be not less than fifteen [15] members or in the event there is less than 15 members at least 30% in attendance must be paid members.

Article X: Amendment of By-Laws
        The By-Laws of VPCC may be amended by announcement and reading of the proposed amendments at the meeting preceding the meeting where such amendments are to be voted upon. An affirmative vote in favor of such amendments cast by at least two thirds [2/3rds] of the members present shall be required for passage of such proposed amendments. Amendments may be considered separately or in whole.
